1. Acceptance of Terms and Scope
These Terms of Service (the “Terms”) are entered into between you (“you” or the “User”) and TUNESPHERE SG PTE. LTD. (“TUNESPHERE,” “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of Sondo, including the Sondo mobile application, official website, web application, web console, website entry points, in-app features, community integrations, chat interfaces, and related artificial intelligence audio, music, lyrics, video, voice synthesis, and content generation services (collectively, the “Service”).
Please read these Terms and our Privacy Policy carefully before using the Service. By clicking “Agree,” “Sign Up,” “Log In,” “Purchase,” or by otherwise accessing, downloading, browsing, or using any part of the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must stop using the Service and may delete the application from your device.
We may update these Terms from time to time. When we do, we will post the updated version in the application, on our website, or through another reasonable channel, and we will update the effective date. If a change materially affects subscription pricing, core rights or obligations, data processing scope, user responsibilities, or other matters that may materially affect you, we will provide notice through an in-app pop-up, in-app notice, email, or another legally permitted and commercially reasonable method before the change takes effect. Unless applicable law requires otherwise, your continued use of the Service after the updated Terms become effective means you accept the updated Terms.

2. Service Description and AI Functionality
Sondo is a creative tool powered by generative artificial intelligence and machine learning models. The Service may process data, instructions, text, images, photos, audio, voice samples, video clips, style parameters, and other materials that you upload, input, or transmit (collectively, “User Inputs”) in order to generate audio files, vocal tracks, lyrics, musical arrangements, video files, remix materials, voice models, or other results (collectively, “Outputs”). User Inputs and Outputs are collectively referred to as “Content.”
You understand that AI-generated Outputs are probabilistic, non-deterministic, and not guaranteed to be unique. The same or similar prompts, materials, styles, parameters, or model conditions may produce identical, similar, or difficult-to-distinguish results for different users. Unless these Terms expressly state otherwise, you may not claim that TUNESPHERE or another user has infringed your rights solely because the Service generated the same or a similar Output for another user.
As part of the Service, we may provide an AI assistant called “Sondo Chat” or a similar feature to help with prompt optimization, creative assistance, parameter adjustment, and operational guidance. Unless TUNESPHERE gives you prior written permission, you may not use Sondo Chat conversation logs, prompt sequences, response parameters, interface outputs, or observed system behavior to train external models, conduct competitive analysis, reverse engineer the Service, discover vulnerabilities, bypass safety controls, or perform adversarial testing.
2.1 Third-Party AI Service Providers
To support AI music-video generation, audio-to-video transformation, intelligent prompt processing, prompt optimization, and multimodal interactions, the Service may integrate with or call trusted third-party artificial intelligence service providers (“AI Providers”). When you use these features, your text prompts, keywords, style selections, audio, images, video clips, or other necessary inputs may be securely transmitted to the applicable AI Provider for real-time or near-real-time processing.
The AI Providers we currently or may in the future integrate with include Wan AI (the Wan 2.5 video generation model, used for audio-to-video conversion and AI music video generation), Anthropic PBC (Claude language model services, used for intelligent prompt processing), and OpenAI, LLC (ChatGPT multimodal model services, used for prompt generation, multimodal understanding, or responses). The specific integrations may change based on product functionality, region, model availability, and technical configuration.
Third-party AI services are provided by the relevant provider and are subject to its applicable terms, policies, and technical limitations. Except for the limited right to use the Service as expressly provided in these Terms, these Terms do not grant you any ownership or intellectual property rights in any third-party model, interface, system, underlying technology, or service. Related personal-data processing, use, sharing, and retention practices are described in the Privacy Policy.
3. Accounts, Age Requirements, and Compliance
3.1 Account Registration and Security
You may need to create an account to use certain features, save Content, purchase subscriptions, or access advanced rendering pipelines. You must provide accurate, complete, and current information and safeguard your account credentials. To the extent permitted by law, you are responsible for losses arising from your failure to protect your credentials or to notify us promptly of suspicious account activity.
If you suspect unauthorized access, credential compromise, suspicious transactions, abnormal generation activity, or any other security incident involving your account, contact us immediately at [email protected].
3.2 Anti-Fraud and Free-Tier Abuse
We may offer free tiers, trial benefits, or promotional credits with limited generation capacity. You may not obtain, accumulate, resell, or abuse free credits through multiple accounts, temporary email addresses, shared accounts, automated scripts, bots, crawlers, proxy pools, false identities, or other improper methods.
If we reasonably believe that an account is involved in fraud, account farming, abnormal transactions, billing circumvention, unauthorized payment instrument use, free-tier abuse, or activities that undermine platform security, we may, to the extent permitted by law, restrict features, suspend credits, require verification, cancel irregular benefits, block related accounts, refuse refunds, or take other necessary measures. We will provide affected users with the main reason where reasonably practicable, unless legal, regulatory, safety, or anti-fraud considerations require otherwise.
3.3 Age Requirements and Minors
You must be at least 13 years old, or the higher minimum age required by the law where you live, to register for or use the Service. If you are below the applicable minimum age, do not use the Service.
If you are at least 13 but under 18, or if you have not reached the age of majority where you live, you may use the Service only with the knowledge, consent, and ongoing supervision of a parent or legal guardian. We may require you or your parent or legal guardian to complete age, guardianship, or consent verification when required by applicable law, platform policy, or risk-control needs. If verification is not completed, we may suspend or limit the relevant account features.
Platform age signals (possible future integration). To provide age-appropriate experiences, comply with minor-protection obligations, and prevent minors from accessing inappropriate features, we may in the future, where supported by the platform and where permitted or required by applicable law and user or guardian authorization, use the Google Play Age Signals API (or successor or similar platform tools) and Apple’s Declared Age Range API or similar iOS/App Store age-assurance tools to receive platform-provided age bands, age categories, guardian-approval status, or similar signals. These signals generally do not include a full date of birth, original identity documents, or detailed identity information. We will use them only as described in the Privacy Policy for age-appropriate experiences, feature restrictions, safety, risk control, legal compliance, and minor protection. If platform age signals are unavailable, inapplicable, or insufficient to satisfy legal requirements, we may request other reasonable age or consent verification from you or your parent or legal guardian.
3.4 Sanctions, Export Controls, and Regional Restrictions
You represent and warrant that you are not listed on any sanctions, restricted-party, embargo, or export-control list maintained by the United Nations, the United States, the European Union, the United Kingdom, Singapore, or any other applicable jurisdiction, and that you will not use the Service in violation of applicable export-control, trade-sanctions, anti-money laundering, counter-terrorism financing, or similar laws. We may lawfully restrict access by specific countries, regions, entities, or accounts.
3.5 Mobile App Store Terms
These Terms apply between you and TUNESPHERE only. Apple Inc., Google LLC, and their affiliates are not parties to these Terms, but if you obtain the application through their platforms, you must also comply with the applicable app store terms. For the iOS version, to the extent permitted by applicable law, Apple and its subsidiaries may be third-party beneficiaries of the provisions of these Terms that relate to the Apple-distributed application.
3.6 Web Access, Cookies, and Local Storage
When you access the Service through our website, web application, or web console, we may use cookies, local storage, session storage, pixel tags, SDKs, device identifiers, and similar technologies for login sessions, account security, fraud prevention, payment checkout, language and regional preferences, service performance analytics, error diagnostics, product improvement, and marketing attribution where permitted by law. Necessary cookies are usually essential for website login, checkout, security, and core functionality. You may manage non-essential cookies through your browser settings or any cookie preference tool we provide, but disabling certain cookies may prevent login, payment, subscription management, content saving, or other web features from working properly.
The web version may integrate with Stripe, PayPal, cloud services, anti-fraud tools, analytics providers, email services, customer support providers, or other third-party services. These third parties may process payment, security, risk-control, or technical-service information under their own terms and privacy policies. Our Privacy Policy explains the relevant data processing in more detail.
4. Intellectual Property, Content Licenses, and Commercial Rights
4.1 Platform Intellectual Property
Except for User Inputs and the rights expressly granted to you under these Terms, the Service, software, interfaces, models, algorithms, system architecture, databases, APIs, SDKs, trademarks, logos, documentation, visual design, workflows, model weights, training methods, and related intellectual property are owned by TUNESPHERE or its licensors. Without our prior written permission, you may not copy, modify, distribute, sell, rent, reverse engineer, decompile, bypass technical measures protecting, or otherwise exploit any platform intellectual property.
4.2 Ownership of User Inputs
You retain the rights you lawfully hold in the original User Inputs you upload or submit. You represent and warrant that you have all rights, consents, and permissions necessary to use, upload, submit, process, and authorize us to process those User Inputs, and that your User Inputs do not infringe or misappropriate any third-party copyright, trademark, trade secret, likeness right, publicity right, privacy right, biometric-information right, or other lawful interest.
4.3 Content License Needed to Operate the Service
To provide, maintain, protect, troubleshoot, improve, and operate the Service, you grant TUNESPHERE and its necessary service providers a worldwide, non-exclusive, royalty-free license, sublicensable only as needed, to host, copy, cache, transmit, reformat, process, analyze, render, store, display, review, and return your User Inputs and Outputs. This license is limited to what is necessary to provide the Service, perform these Terms, maintain safety and security, complete features you request, comply with legal obligations, and protect legitimate rights and interests.
After you delete Content or close your account, we will delete or anonymize relevant Content within the retention periods described in the Privacy Policy, unless retention is reasonably necessary for legal compliance, dispute handling, security audits, backup deletion cycles, anti-fraud purposes, publicly posted Content, or remix or collaboration features that you enabled.
4.4 AI Training and Product Improvement
Unless you give separate express consent or you make the relevant Content public, we will not use your private project files, original voice recordings, voiceprint features, personal voice models, private Content from minor accounts, or private materials that clearly contain sensitive personal information to train, fine-tune, or develop foundation models made available to the public or to third parties.
For Outputs you intentionally publish, public remixes, public work parameters, general prompts, feedback, aggregated data, anonymized data, and data you otherwise authorize, you allow us to use such data, to the extent permitted by law, to improve, test, evaluate, fine-tune, and train models, content-safety systems, and product features. We will apply access controls, permission separation, de-identification, aggregation, anonymization, and retention controls as described in the Privacy Policy.
4.5 Rights in Outputs
Paid subscribers. While you maintain an active paid subscription, complete payment, and comply with these Terms, TUNESPHERE transfers or grants to you, to the extent of its transferable rights, the rights it may hold in Outputs generated through your account during your paid subscription period, so that you may use those Outputs for lawful commercial purposes. This arrangement does not affect third-party materials, third-party voices, third-party rights, open-source licenses, app store rules, or limits under applicable law regarding the copyrightability, registrability, exclusivity, or commercial usability of Outputs.
Free or basic users. If you generate Outputs through a free tier, free trial, or unpaid feature, unless the product page states otherwise, you receive only a limited, non-exclusive, non-transferable, non-sublicensable license to use those Outputs for personal, non-commercial, educational, testing, or entertainment purposes. If you display such free Outputs on social media, in a community, or through another public channel, you should clearly and reasonably indicate that the Content was generated by Sondo or includes Sondo AI-generated elements.
Regardless of your plan, you may not use Outputs for illegal, infringing, fraudulent, misleading, impersonating, defamatory, non-consensual deepfake, child-safety-risk, malicious political-manipulation, or other purposes that violate these Terms.
4.6 Remixing, Collaboration, and Public Community Content
If you enable remixing, collaboration, public posting, or community sharing, other users may view, comment on, share, or create derivative works based on your public Content. The specific rights and permitted uses will depend on the feature you enable, the interface notices, and these Terms. You must ensure that you have the right to publicly post the relevant Content, and you understand that public Content may be saved, reposted, or referenced by others.
4.7 Non-Uniqueness and Rights Limitations for AI Outputs
You understand that AI-generated results may resemble content generated for other users, public data, common styles, general prompts, or third-party works. TUNESPHERE does not guarantee that any Output is original, unique, copyrightable, registrable, non-infringing, merchantable, or fit for a particular purpose. Before using Outputs commercially or publicly, you are responsible for conducting any necessary review for copyright, trademark, likeness, voice, publicity, privacy, advertising, and other compliance issues.
5. User Conduct and Prohibited Uses
You agree that you will not, and will not assist others to:
- Upload, generate, publish, distribute, or commercialize Content that infringes or misappropriates any third-party copyright, trademark, patent, trade secret, likeness right, publicity right, reputation right, privacy right, biometric-information right, or other lawful interest;
- Clone, simulate, extract, synthesize, or impersonate another person’s voice, likeness, facial features, identity characteristics, or other personal attributes without that person’s clear authorization;
- Generate, distribute, or facilitate child sexual exploitation material, non-consensual intimate content, malicious deepfakes, sextortion, harassment, hate, threats of violence, terrorism, human trafficking, drug crime, scams, malware, or other unlawful or harmful content;
- Use the Service for political deception, false endorsements, impersonation of public figures or organizations, fraudulent marketing, financial scams, identity theft, or conduct that may mislead the public;
- Interfere with the Service, bypass restrictions, or compromise platform security through automated scripts, bots, crawlers, mass registrations, credential stuffing, proxy pools, API abuse, or similar methods;
- Reverse engineer, decompile, crack, scan, probe, bypass, circumvent, or attempt to obtain model weights, source code, private interfaces, system prompts, non-public data, or security mechanisms;
- Use Service Outputs, interface behavior, model responses, or platform data to develop, train, evaluate, optimize, or promote a model, system, or service that competes with Sondo, unless we give prior written permission;
- Upload viruses, trojans, worms, logic bombs, malicious scripts, abnormal requests, or other material that may harm the Service, devices, networks, or data security;
- Bypass regional restrictions, risk controls, billing mechanisms, content-safety systems, or minor-protection measures through VPNs, proxies, false location information, false identities, payment fraud, age-circumvention, or similar methods; or
- Violate applicable law, regulatory requirements, platform rules, these Terms, or other reasonable-use policies we publish.
5.1 Copyright Complaints and DMCA Notice
TUNESPHERE respects intellectual property rights. If you believe that content displayed, hosted, generated, posted, linked, or distributed through the Service infringes a copyright owned by you or by a person you are authorized to represent, you may submit a copyright complaint or DMCA notice to [email protected]. Please include “Copyright Complaint” or “DMCA Notice” in the email subject line.
To help us review your request, the notice should include as much of the following information as possible:
- The name, email address, and other necessary contact information of the rights holder or authorized agent;
- A physical or electronic signature of the rights holder or authorized agent;
- A clear description of the copyrighted work or other protected material that you claim has been infringed; if a notice covers multiple works, a representative list may be provided;
- Information reasonably sufficient for us to locate the allegedly infringing content, such as a URL, user ID, work ID, file ID, timestamp, page path, or other identifying details;
- A statement that you have a good-faith belief that the disputed use is not authorized by the rights holder, its agent, or the law; and
- A statement that the information in your notice is accurate and that you are the rights holder or are authorized to act on behalf of the rights holder. Where required by applicable law, this statement should be made under penalty of perjury.
After receiving a reasonably complete copyright complaint, we may remove content, disable access, restrict distribution, request additional information, notify the relevant user, retain processing records, or take other appropriate action to the extent permitted by law. We may also forward the necessary contents of the complaint to the user who posted or generated the disputed content so that the user can understand the complaint and respond lawfully.
If your content is removed or disabled and you believe the action resulted from mistake, misidentification, authorization, fair use, or another lawful basis, you may submit a counter-notice to [email protected]. A counter-notice should include your identity and contact information, the location of the removed or disabled content, an explanation of why you believe the action was incorrect, your signature, and any other statements required by applicable law, including, where necessary, a statement that you will accept service of legal process from the complainant or its agent.
To the extent permitted by applicable law, we may restrict, suspend, or terminate accounts that repeatedly or seriously infringe intellectual property rights. You must not submit false, malicious, misleading, or abusive complaints, notices, or counter-notices. The person submitting a false or abusive notice is responsible for any resulting liability.
6. Fees, Subscriptions, Auto-Renewal, and Refunds
6.1 Paid Services and Taxes
Certain features, generation credits, high-definition rendering, voice cloning, commercial-use rights, storage capacity, or advanced tools may require payment. The applicable price, billing period, benefits, taxes, renewal terms, and cancellation method are as shown on the purchase page, app store page, or checkout page. You must ensure that your payment information is accurate, valid, and lawfully authorized.
6.2 Auto-Renewal
If you purchase a monthly, quarterly, annual, or other recurring subscription, it will automatically renew at the end of each billing period unless you cancel it through the required purchase channel before the current billing period ends. Renewal will be charged at the then-current price or the price previously notified to you, plus applicable taxes.
For subscriptions purchased through the Apple App Store or Google Play, cancellation, refunds, renewal, and billing management are usually handled by the relevant app store. You should cancel through your Apple ID, Google Play, or the applicable platform subscription-management page at least 24 hours before the end of the current subscription period, or earlier if the applicable platform rules require. For subscriptions purchased through the web version, Stripe, PayPal, or another third-party payment processor, you may cancel through account settings, the web subscription-management portal, a management link provided by the payment processor, or our customer support process.
6.3 Third-Party Payment Processing
TUNESPHERE does not directly collect or store complete card numbers, debit card numbers, credit card numbers, bank account information, or PayPal login credentials. Web payments, subscriptions, invoices, refunds, chargebacks, and payment risk controls may be processed by Stripe, PayPal, or other third-party payment processors. In-app purchases may be processed by the Apple App Store or Google Play. The relevant payment process is subject to the applicable third party’s terms of service, privacy policy, refund rules, dispute procedures, and risk-control rules.
We may receive from Stripe, PayPal, Apple, Google, or other payment processors limited information needed to provide the Service, such as order numbers, payment confirmations, subscription status, customer or subscription identifiers, payment tokens, billing email address, billing country or region, invoice status, refund status, chargeback status, tax information, and anti-fraud results. You understand that third-party payment processors may independently process some payment information for their own legal compliance, risk-control, anti-money laundering, sanctions screening, tax, accounting, dispute-resolution, and platform-security purposes.
6.4 Price Changes
We may change prices based on service costs, model-compute costs, market conditions, or product changes. For existing subscribers, if advance notice is required by law or platform rules, we will provide notice before the change takes effect through in-app notice, email, app store mechanisms, or another reasonable method. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.
6.5 Refunds and Immediate Delivery of Digital Content
Unless the purchase page, app store rules, applicable law, or our separate written commitment provides otherwise, used generation credits, delivered digital content, voice-cloning services that have begun, and Outputs that have been downloaded or publicly posted are generally non-refundable.
Nothing in these Terms limits any non-waivable refund, withdrawal, cancellation, or other consumer remedy available to you under the consumer protection laws or app store rules of your region. Refund, withdrawal, or cancellation requests should be submitted through the relevant purchase channel, app store, Stripe, PayPal, or the customer support process we provide.
7. Disclaimers and Warranty Limitations
To the fullest extent permitted by applicable law, the Service, models, software, Content, Outputs, voice models, community features, and third-party integrations are provided “as is” and “as available.” TUNESPHERE and its affiliates, officers, employees, service providers, and licensors disclaim all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, continuous availability, accuracy, completeness, reliability, error-free operation, virus-free operation, non-infringement, copyrightability, registrability, exclusivity, or commercial success.
You understand and agree that AI Outputs may be incorrect, incomplete, inaccurate, similar to other content, unavailable, biased, or unsuitable for commercial use. Outputs do not constitute legal, medical, financial, investment, professional, fact-checking, or other expert advice. You are responsible for deciding whether and how to use any Output, and for any publication, commercialization, or other use of Outputs.
Third-party platforms, app stores, payment processors, cookie or analytics providers, cloud services, community platforms, and other third-party integrations are controlled by their respective providers. We are not responsible beyond what applicable law requires for the availability, accuracy, security, fees, rule changes, or data processing of third-party services.
8. Limitation of Liability
To the fullest extent permitted by applicable law, TUNESPHERE and its affiliates, directors, officers, employees, service providers, and licensors will not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages arising out of or related to your use of, or inability to use, the Service, Outputs, account, subscription, data, third-party services, or these Terms, including lost profits, lost revenue, loss of goodwill, data loss, business interruption, substitute-service costs, or reputational harm, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, our total cumulative liability arising from the Service or these Terms will not exceed the amount you actually paid to us for the Service during the six months before the event giving rise to the claim. If you have not paid us any fees, our total liability will not exceed USD 100 or the minimum amount permitted by applicable law. Some jurisdictions do not allow certain liability limitations, so these limits apply only to the extent permitted by law.
9. Indemnification
To the extent permitted by law, if any third party brings a claim, complaint, investigation, action, loss, fine, liability, cost, or expense against TUNESPHERE, its affiliates, officers, employees, contractors, licensors, or service providers arising from any of the following, you agree to reasonably defend, indemnify, and hold us harmless:
- Your User Inputs, Outputs, voice models, publicly posted Content, or commercial use of Content;
- Your violation of these Terms, applicable law, third-party rights, or platform rules;
- Your unauthorized use of another person’s voice, likeness, work, trademark, personal data, biometric information, or other protected interest; or
- Your fraud, account farming, malicious automation, payment violation, security attack, or other misconduct.
We will notify you of the relevant claim where reasonably practicable and may choose to control the defense and settlement ourselves. You may not settle any matter in a way that admits fault by us, increases our obligations, or impairs our rights without our prior written consent.
10. Account Suspension, Termination, and Data Handling
If we reasonably believe there is a violation of these Terms, unlawful Content, fraud, payment risk, minor-protection risk, security threat, regulatory requirement, service shutdown, or another necessary reason, we may restrict features, suspend accounts, remove Content, freeze credits, cancel subscription access, refuse service, or terminate accounts. Except where emergency safety, legal prohibition, anti-fraud, child-safety, infringement, or regulatory requirements make notice impracticable, we will provide notice or an appeal channel where reasonably possible.
After account termination, your right to access the Service will end. Provisions that by their nature should survive, including those relating to intellectual property, Content licenses, AI training limits, fee settlement, disclaimers, liability limits, indemnification, disputes, data retention, and legal compliance, will continue to apply after termination.
Account, Content, and personal-data deletion, retention, and anonymization are governed by the Privacy Policy. We may retain limited information for the period necessary for legal obligations, dispute handling, security audits, anti-fraud, minor protection, accounting records, or backup deletion cycles.
11. Export Controls, Severability, and Miscellaneous
The software, models, algorithms, data flows, encryption technology, and related technology made available through the Service may be subject to export-control, sanctions, trade-compliance, anti-money laundering, and similar laws. You may not download, access, export, re-export, transfer, or use the Service in violation of applicable law.
If any provision of these Terms is found invalid, unlawful, or unenforceable by a competent authority, that provision will be modified or removed to the minimum extent necessary, and the remaining provisions will remain in effect.
These Terms, together with the Privacy Policy, purchase pages, subscription confirmations, and rules expressly incorporated in the application, form the entire agreement between you and TUNESPHERE regarding the Service and replace any prior oral or written understandings on the same subject.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, asset transfer, business adjustment, or other circumstance permitted by law, and we will provide notice when legally required.
